1. Introduction

These Terms and Conditions ("Terms") constitute a legally binding agreement between Roaming Events Private Limited, a company incorporated under the laws of India, having its registered office at 1209 Galaxy Blue Sapphire, Plaza Sector 4, Greater Noida, Uttar Pradesh, 201318, India ("Roaming Events", "Company", "Platform", "we", "us", "our") and any individual or entity ("User", "Organizer", "Partner", "Vendor", "you", "your") accessing or using our platform.

By accessing, browsing, or using the platform, you agree to be bound by these Terms, our Privacy Policy, and all applicable laws.

2. Nature of platform

Roaming Events is a global event discovery, ticketing, and marketplace platform that enables:

• •Users to discover, browse, and purchase tickets
• •Organizers to create, promote, and sell events
• •Brands, vendors, and partners to collaborate commercially
• •Global transactions via integrated payment systems

We act as a technology intermediary and payment facilitator, and do not organize, host, or control events unless explicitly stated.

3. Eligibility

You may use the platform only if:

• •You are at least 18 years old (or legal age in your jurisdiction)
• •You have the legal capacity to enter into a binding contract
• •You are not prohibited by applicable laws

4. User accounts

• •Users may register via email, phone, or third-party login
• •You are responsible for maintaining account confidentiality
• •You agree to provide accurate and updated information
• •We reserve the right to suspend or terminate accounts for violations

5. Roles on platform

5.1 Users (customers)

• •Discover and purchase tickets
• •Attend events at their own discretion
• •Must verify event details before purchase

5.2 Organizers

• •Create and manage event listings
• •Sell tickets directly to Users
• •Responsible for event execution, legality, and compliance

5.3 Partners / affiliates / resellers

• •Promote events and earn commissions
• •Operate independently of Roaming Events

5.4 Vendors / sponsors

Engage in brand collaborations, sponsorships, or services.

6. Acceptable use

You agree not to:

• •Violate any laws or regulations
• •Post misleading, fraudulent, or illegal content
• •Infringe intellectual property rights
• •Promote harmful, abusive, or explicit content
• •Use bots, scraping tools, or automation without permission
• •Misuse user data or platform infrastructure

7. Event listings and organizer responsibilities

Organizers must:

• •Ensure event authenticity and accuracy
• •Obtain all licenses, permits, and approvals
• •Ensure safety, compliance, and crowd management
• •Not duplicate or resell already listed events
• •Provide real-time updates (cancellation, delays, etc.)

Roaming Events may request venue contracts, government approvals, and artist agreements.

8. Ticketing and transactions

8.1 Contract of sale

All ticket purchases are between User and Organizer. Roaming Events acts only as an intermediary platform.

8.2 Pricing

• •Ticket price is set by Organizer ("Base Price")
• •Platform may charge convenience fee, service fee, and payment processing charges

8.3 Payment flow

India transactions: Payments collected by platform; payout to Organizer after event (T+2 to T+5 days), subject to dispute and complaint windows.

International transactions: Payment split via gateways (Stripe, PayPal, etc.); Organizer may receive funds directly; Platform retains service fees.

8.4 Taxes

• •Platform liable for GST on service fees
• •Organizer liable for all taxes on ticket sales
• •International tax compliance responsibility lies with Organizer

8.5 Chargebacks

Organizer is liable for disputes, chargebacks, and payment gateway penalties.

9. Refund policy

• •Refunds are governed by Organizer's policy
• •Platform may intervene in fraud cases, event cancellation, and user complaints

Non-refundable components

• •Platform fees
• •Payment gateway charges

10. Event cancellation and liability

Organizer is solely responsible for cancellation, rescheduling, entry denial, and event quality.

Platform is not responsible for venue issues, artist no-shows, crowd control, or safety incidents.

11. Organizer agreement (critical)

By listing events, Organizer agrees to honor all sold tickets, not shift the event to another platform after selling tickets, compensate the platform for damages (minimum penalty applicable), and indemnify the platform from legal claims.

12. Vendor / partner agreement

Vendors and sponsors operate independently. Platform is not liable for brand commitments, sponsorship deliverables, or service failures.

13. Intellectual property

• •Platform owns all system, design, and technology IP
• •Users and Organizers retain ownership of their content
• •By uploading content, you grant us a global license to use it

14. Data privacy and security

• •Data handled as per Privacy Policy
• •Platform may process data for service delivery, analytics, and fraud prevention
• •Organizers must protect user data and not misuse personal information

15. Third-party services

Platform may integrate payment gateways, marketing tools, and external websites. We are not responsible for third-party services or errors.

16. Disclaimer of warranties

Platform is provided "as is" without warranties: no guarantee of uptime, error-free service, event authenticity, or financial outcomes.

17. Limitation of liability

Roaming Events shall not be liable for indirect or consequential damages, loss of revenue or profits, or event-related incidents. Maximum liability (if any) is limited to the amount paid as platform fee.

18. Indemnification

You agree to indemnify Roaming Events against legal claims, financial losses, and regulatory penalties arising from your use of the platform.

19. Termination

We may suspend or terminate accounts violating terms, fraudulent activities, or legal risks. Users may terminate by closing their account.

20. Force majeure

We are not liable for delays due to natural disasters, government restrictions, pandemic, war, or strikes.

21. Governing law and jurisdiction

Governed by the laws of India. Jurisdiction: Courts of Delhi / NCR.

22. Modifications

We may update these Terms at any time. Continued use constitutes acceptance.
