Organizer Agreement
Roaming Events Private Limited

1. Parties
This Organizer Agreement ("Agreement") is entered into between Roaming Events Private Limited, having its registered office at 1209 Galaxy Blue Sapphire, Plaza Sector 4, Greater Noida, Uttar Pradesh, India ("Platform", "Roaming Events", "Company", "we", "us") and the individual or entity registering as an Organizer on the Platform ("Organizer", "you").
2. Purpose
This Agreement governs your use of the Roaming Events platform for:
- Creating and listing events
- Selling tickets
- Collecting payments
- Promoting and managing events
3. Role of platform (very important)
Roaming Events:
- Acts as a technology intermediary
- Acts as a payment facilitator (aggregator or splitter)
- Does not organize events, control venues, or manage execution. Users purchase tickets directly from the Organizer.
4. Organizer obligations
4.1 Event legitimacy
- Ensure the event is genuine, lawful, and permitted
- Possess all licenses, permits, and approvals
4.2 Compliance
- Follow all local, national, and international laws
- Comply with safety, fire, police, and municipal regulations
4.3 Accuracy
Provide accurate event details: venue, date and time, pricing, artist lineup.
4.4 User experience
- Honor all valid tickets sold
- Ensure entry of ticket holders (unless valid restrictions apply)
5. Prohibited events
Organizer shall not list events that involve:
- Fraudulent or fake listings
- Pornographic or explicit content
- Illegal substances or activities
- Hate speech, extremism, or violence
- Unauthorized resale of tickets
The Platform reserves the right to remove such events immediately.
6. Ticketing and sales
6.1 Contract of sale
- Ticket sale is between Organizer and User
- Platform is not a party to the transaction
6.2 Pricing
Organizer sets ticket price (base price) and taxes. The Platform may charge convenience fee, service fee, and payment processing fee.
6.3 Ticket validation
Organizer must accept QR and digital tickets and use verification systems provided (if applicable).
7. Payment and settlement
7.1 Payment flow
Model A (Aggregator): Platform collects payments and pays Organizer after the event.
Model B (Direct pay): Organizer receives payments directly; Platform collects commission.
7.2 Settlement timeline
Payout: typically T+2 to T+5 days post-event, subject to complaints, refunds, and fraud checks.
7.3 Withholding rights
Platform may hold payments if user complaints arise, the event is disputed, or fraud is suspected.
7.4 Chargebacks
Organizer is fully liable for payment disputes, chargebacks, and gateway penalties. Organizer must reimburse the Platform within 7 days.
8. Refunds and cancellations
8.1 Organizer responsibility
Organizer is solely responsible for refund policies, cancellation handling, and user communication.
8.2 Mandatory refund cases
Full refunds are required if the event is cancelled, entry is denied, or the event is materially altered.
8.3 Platform rights
Platform may issue refunds directly to users and deduct from Organizer payouts.
8.4 Non-refundable
Platform fees are non-refundable.
9. Strict penalty clause (very important)
If Organizer cancels an event without valid reason, moves the event to another platform after selling tickets, or fails to honor tickets, Organizer may be liable for:
- Full refund of users
- Additional penalty (minimum ₹20,00,000 or equivalent damages)
- Legal action
10. Marketing and promotion
Organizer agrees the Platform may promote events and use event data for marketing. Organizer must not mislead users or use false promotions.
11. Data protection
Organizer is Data Controller for attendee data and must comply with GDPR, DPDP, and CCPA. Organizer shall not misuse user data, not sell data illegally, and delete data upon request. The Platform is not responsible for Organizer misuse.
12. Intellectual property
Organizer owns event content; Platform owns system and technology. Organizer grants the Platform a global, royalty-free license to use event content for promotion.
13. Third-party services
Platform may use payment gateways and analytics tools. Platform is not liable for third-party failures.
14. Disclaimer
Platform is not responsible for event quality, venue issues, artist no-shows, or safety incidents.
15. Limitation of liability
Platform liability is limited to fees earned from Organizer. Platform is not liable for indirect damages, loss of profit, or business losses.
16. Indemnification (critical)
Organizer agrees to indemnify the Platform against legal claims, user disputes, and regulatory penalties, including refunds, damages, and legal costs.
17. Termination
Platform may suspend or terminate if fraud is detected, policies are violated, or legal risk arises.
18. Force majeure
No liability for natural disasters, government restrictions, pandemic, or war.
19. Governing law
Laws of India. Jurisdiction: Delhi / NCR courts.
